PALO ALTO, CA (September 20, 2022) – Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, announced today that Allurie Kephart has joined the firm’s corporate department as a partner in the Wilmington, Delaware, office. Kephart’s addition reflects the firm’s ongoing expansion in both Delaware and other markets, as well as sustained demand for transactional and corporate advisory experience from technology and life sciences clients.

Kephart focuses her practice on business deals and transactions governed by Delaware law and providing Delaware law-specific advice. She counsels clients on various aspects of Delaware corporate and alternative entity law and advises clients in connection with joint ventures, financings, mergers and acquisitions, formation, dissolution, and liquidation. Kephart has represented numerous special conflicts committees on asset drop-downs and restructurings and has an advisory practice through which she often serves as outside general counsel for companies. She also advises distressed companies on corporate matters, such as bankruptcy.

“Despite market fluctuations, our firm’s clients continue to engage in acquisitions, mergers, and other strategic transactions—in addition to their ongoing corporate and compliance obligations—so there’s sustained demand for sophisticated transactional and advisory experience,” said Doug Clark, managing partner at Wilson Sonsini. “Allurie has an impressive track record of helping companies throughout their life cycle, including representing them in complex deals and other transitional matters. We’re pleased to welcome her as our latest addition to the corporate department and what is already an impressive team in Delaware.”

Kephart is the 15th lateral partner to join Wilson Sonsini in 2022. On August 8, 2022, the firm announced that former Delaware Court of Chancery Vice Chancellor Joseph Slights had joined the litigation department as a partner in the Wilmington office.

“I’m very excited about the opportunity to work with Wilson Sonsini’s innovative clients on their transformative and ongoing matters,” said Kephart. “I’m also looking forward to collaborating with what I know is a talented team in Wilmington, as well as others across the firm.”

Most recently, Kephart was a partner at law firm Young Conaway Stargatt & Taylor. She joined that firm’s Wilmington office in 2017 and became partner in January 2022. Before that, upon graduation from law school in 2011, she worked for law firm Richards, Layton & Finger in Wilmington for approximately five years. While in law school, Kephart was a judicial intern for The Honorable D. Brooks Smith of the U.S. Court of Appeals for the Third Circuit.

Kephart received her J.D. from The Dickinson School of Law at Pennsylvania State University in 2011.
