On September 7, 2022, Aluar Aluminio Argentino S.A.I.C. (“Aluar”) issued its 0.000% dollar-linked notes due in September 2025, settled in kind by the exchange of its Series 3 Notes, for an aggregate amount of US$58,538,915 (the “Series 4 Notes”).
More than 96,5% of the Series 3 Notes were exchanged. Furthermore, Aluar redeemed the remaining outstanding Series 3 Notes.
The Series 4 Notes are authorized to be traded in Bolsas y Mercados Argentinos S.A. and the Mercado Abierto Electrónico S.A.
SBS Trading S.A. and Banco Santander Argentina S.A. acted as exchange agents and arrangers, and Macro Securities S.A., Banco de Galicia y Buenos Aires S.A.U., Industrial and Commercial Bank of China (Argentina) S.A. and Banco de la Provincia de Buenos Aires acted as exchange agents in the Series 3 Notes exchange and the issuance of the Series 4 Notes (the “Exchange Agents”).
Bomchil acted as counsel to Aluar. In turn, Marval O’Farrell Mairal acted as counsel for the Exchange Agents.
Aluar is a national capital company managed according to the most demanding international parameters of industry and in constant evolution. Since its beginnings, aluminium production capacity has tripled by 140,000 tons thanks to a constant investment plan, which allows it to fully supply the local market with approximately 30% of its volume produced, exporting the other 70% to countries such as the United States, Brazil, Japan and Germany, among others.
