ARIFA has advised Mediam Group (Google’s Official Media Representative in Central America) in the sale of a minority stake to Aleph Group, Inc., a leading global enabler of digital advertising in emerging countries. The transaction gives Aleph, the exclusive partner of Twitter, Meta, LinkedIn, Snapcha, TikTok, Spotify and Twitch in many jurisdictions across the glove, its first partnership with Google through the acquisition of Mediam Group.
The sophisticated transaction structure included Aleph stock payments as consideration, three different shareholders agreements, and a stock purchase agreement.

Mediam, founded by LDM Holding in 2021, supports hundreds of advertisers with dedicated, experienced and local teams in Panama, Guatemala and Costa Rica to optimize their ads accounts across Google Products (Search, YouTube, Display, DV360).
