On August 23, 2024, Héctor A. Bertone S.A. (“Bertone”) issued the Series II Notes under the Global Bond Issuance Program under the PYME CNV Regime.
The Series II Class I Notes (the “Class I”) were issued for a nominal value of ARS 3,065,000,000, at an annual nominal variable rate equivalent to the Badlar rate plus a margin of 8%. The Class I has a maturity date of August 23, 2025, with interest payable quarterly until its maturity date, and 100% of the nominal value of the Class I Notes will be amortized in a single payment on the Maturity Date of Class I.
The Series I Class III Notes (the “Class III”) were issued for a nominal value of USD 3,300,000, integrated in pesos at the initial exchange rate and payable in pesos at the applicable exchange rate with a fixed annual nominal rate of 8%. The Class III has a maturity date of August 23, 2026. Interest will be payable quarterly until its maturity date, and 100% of the nominal value will be amortized in 3 (three) installments: (i) the first, equivalent to 33% of the nominal value, at 12 (twelve) months; (ii) the second, equivalent to 33% of the nominal value, at 15 (fifteen) months; and (iii) the third, equivalent to the remaining 34% of the nominal value on the Maturity Date of Class III.
The Series II Notes have been rated “A-.ar” for long-term local currency and “ML A-2.ar” for short-term local currency with a stable outlook, on June 7, 2024, by Moody’s.
The Series II Notes were admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading on Mercado Abierto Electrónico S.A.
In this issuance, Bertone acted as the issuer, while Banco Mariva S.A., Banco Supervielle S.A., and Banco de Galicia y Buenos Aires S.A.U. acted as organizators and placement agents, and SBS Trading S.A., First Capital Markets S.A., Adcap Securities Argentina S.A., Max Capital S.A., InCapital S.A., Banco de la Provincia de Córdoba S.A., and Consultatio Investments S.A. acted as placement agents. All parties involved in the transaction turned to Beccar Varela’s team, team led by Luciana Denegri, with the participation of Maria Victoria Pavani, Julián Alejandro Ojeda, Martina Puntillo, and Carlos Nicolás Saúl Lucero.·
