On August 18, 2023, Capex S.A. (“Capex”), an Argentinean integrated energy company engaged in oil and gas exploration and production, production of gas liquified gas products, thermal and renewable power generation and hydrogen production, successfully concluded the exchange offer of its 6.875% Notes due 2024 (the “Old Notes”), for newly issued 9.250% Notes due August 25, 2028 (the “New Notes”) and cash consideration (the “Exchange Offer”); as provided in the Suplemento de Prospecto y Canje and the Exchange Offering Memorandum, both dated July 24, 2023 (as subsequently amended).
Capex concluded the Exchange Offer with a total participation of US$ 197.398.0000 in aggregate principal amount of Old Notes, representing 82.65% of the aggregate principal amount of Old Notes outstanding.
Citigroup Global Markets Inc. and Santander US Capital Markets LLC acted as dealer managers (the “Dealer Managers”), and Industrial and Commercial Bank of China (Argentina) S.A.U., Banco de Galicia y Buenos Aires S.A.U., Banco Santander Argentina S.A. and Banco CMF S.A. acted as local placement agents (the “Local Placement Agents”).
