Dentons, the world’s largest global law firm, advised Romania’s state-owned bank, CEC Bank, on the establishment of its €600 million Euro Medium Term Note Programme, as well as the first two issuances under the framework. The issuances include a non-syndicated private placement of over €130 million (RON 600 million) notes listed on the Bucharest Stock Exchange, and an inaugural international public offering of over €119 million (RON 587 million) MREL eligible bonds, listed on the Luxembourg Stock Exchange and in the process of being listed on the Bucharest Stock Exchange.
The international Dentons team for the issuer comprised partner Loredana Chitu, Head of the Capital Markets practice in Bucharest, counsel Maria Tomescu and associates Alin Roca and Mirela Rusnac in Bucharest; partner Oliver Dreher and associate Nadja Reiß in Frankfurt; and senior associate Philippa Münnich-Winter in Berlin.
“We thank CEC Bank for entrusting us with their inaugural EMTN Programme and successful bond placements, which will allow this agile bank to attract financing through the capital markets. The involvement of our multi-jurisdictional teams in this large project demonstrates the solid experience of Dentons lawyers in handling complex cross-border capital markets mandates, coordinated from Romania,” Loredana Chitu stated.
