On April 28, 2022, the final agreement for the acquisition of Entel’s data center in Peru (which was previously owned by Americatel Peru, Entel’s affiliate in the country) was signed. The buyer is Equinix, one of the biggest digital infrastructure companies in the world. The data center is located in Lima and has an approximate area of 1,500 m2. The agreement is part of a bigger regional transaction, in which a total of four Entel’s data centers will be acquired (three in Chile and one in Peru) for a total price of US$ 758,5 million. The final agreement for the acquisition of the data centers in Chile was signed on March 17, 2022.
The closing of the transaction is subject to the fulfillment of certain conditions precedent, which is expected to occur in the first quarter of 2023.
The additional terms of the transaction, that for the time being remain confidential, include the acquisition of the real property and the assets that compose the data center, the transfer of its employees, and a service agreement by means of which Equinix will provide data center services to Entel. As informed, this structure will allow a strategic business alliance among Entel and Equinix.
The transaction was particularly complex due to the technical issues regarding the transfer of the assets that compose the data center, which include agreements with clients and suppliers, while assuring that the data center continues operating during the transtition.
Peru is ranked fifth among the countries with the highest volume of M&A transactions in Latin America, and this is the biggest transaction reported during the first quarter of 2022.
