Flick Gocke Schaumburg has advised Barmenia Versicherungsgruppe and Gothaer Versicherungsgruppe on their merger, resulting in the creation of Germany’s tenth-largest insurer.


By leveraging their combined strengths in the insurance sector, Barmenia and Gothaer aim to diversify their business. The merger will create a joint insurance group with total commission income of approximately EUR 7.5 billion.


Flick Gocke Schaumburg provided tax and legal advice, particularly in the areas of corporate and group law, supervisory law, and antitrust law. Additionally, the firm assisted with structuring and implementing the merger, providing advice on future corporate governance arrangements and the safeguarding of member rights.


Barmenia was founded in Leipzig in 1904. The group employs around 4,500 people across Germany. Gothaer was founded in Gotha in 1820 and is one the oldest mutual insurance companies in Germany. The group employs around 5,000 people.
