Rebaza, Alcázar & De Las Casas advised Andino Capital Servicer Sociedad Gestora de Fondos de Inversión S.A., in its role as manager and representative of Fondo APE - Fondo de Inversión por Oferta Privada No Inscrito en los Registros de la SMV (hereinafter, the "Fund"), who participated as Originator in the First Issue of the First Securitization Bond Program of the Fund for up to US$ 200 million, where Acres Sociedad Titulizadora S.A. participated as trustee of the securitization trust.

 

The Originator, as collateral for the bonds, created a trust asset comprised with the Collection Rights and Cash Flows derived from Originator's finance activities.

 

The bonds have been issued by private offering and are directed exclusively to institutional investors.

 

The Originator is an investment fund whose purpose is to carry out financial operations in Peru, as well as to invest in debt instruments, deposits, operations and financial instruments. The Fund is managed by Andino Capital Servicer Sociedad Gestora de Fondos de Inversión S.A., a recognized company specialized in providing financing alternatives through integrated solutions according to the needs of each client.

 

The funds obtained from the placement of the bonds will be used to finance the Fund's operations.

 

This advisory is particularly relevant for the Peruvian financial and legal market as it involves not only a new issuance of debt, but also the implementation of the Fund's first bond issuance program for an amount up to US$ 200 million, which will provide the Originator with the necessary working capital to finance its operations in benefit of its investors.
