The initial purchaser was advised by Rebaza, Alcázar & De Las Casas in Lima and Gibson Dunn & Crutcher LLP in Nueva York, in the purchase of Senior Notes by GM Operaciones S.A.C. (Peruvian subsidiary of Grupo Albanesi). The transaction closed on November 14, 2022.
The issuance of the Notes was secured by a collateral package under Peruvian law formed by a trust estate over certain rights and assets of the issuer and other related entities.
The proceeds from the issuance of the Notes will be used by Grupo Albanesi in its expansion to Peru (i.e., the Company will use the proceeds in connection with the development of a cogeneration energy project in Peru).
