Saraf and Partners advised Carlyle Group in a pre-IPO transaction involving sale of its partial stake in Global Health Limited to a clutch of three investors namely (i) RJ Corp Limited; (ii) SBI Funds Management Limited; and (iii) Novo Holdings.
Global Health Limited, which operates and manages speciality hospitals under its brand ‘Medanta’, has filed draft papers for an initial public offering which will consist of a fresh issue and an offer for sale by promoters and shareholders.
The Firm was involved in advising the Caryle Group in all aspects in relation to the pre-IPO sales to the three buyers including drafting and finalising the share purchase agreements and engaging in several rounds of negotiations with each of the buyers. The team also led the closing under each of the share purchase agreements which involved advising the Client on exchange control compliances and related filings.
