Thomson Geer has advised The Original Juice Co. on its acquisition and ASX-backdoor listing of iconic Australian fruit and vegetable processor SPC Global and the powdered milk business of Nature One Dairy to create a leading Australian and global food and beverage company.

The novel three-way merger was completed via a scrip and cash transaction, with The Original Juice Co. taking on the name SPC Global.

Thomson Geer advised The Original Juice Co. on all aspects of the transaction and engaged with the ASX on all re-listing matters.

Thomson Geer advised OJC on the negotiation of the merger implementation deed and each of the share sale agreements with SPC shareholders. The firm also led the Australian legal due diligence exercise on SPC and guided the OJC directors on the legal implications of the Nature One Dairy acquisition.

The transaction valued SPC at A$212 million and Nature One Dairy at A$50 million.

The Original Juice Co. is an Australian food processing company specialising in chilled fruit and vegetable juices for domestic and international markets.

SPC is an Australian brand established more than 100 years ago. It is the largest producer of fruit, tomato, baked beans and spaghetti processing, packaging, and canning in Australia.

Nature One Dairy is a Singapore registered, Australian-founded dairy company that manufactures and sells premium infant formula, nutritional formula and milk powder products.
