About

Provided by Campbells

Our lawyers provide advice on the structuring, formation and launch of a wide range of investment funds including hedge funds, venture capital funds, private equity funds and ‘hybrid’ funds, which borrow concepts from some or all of the aforementioned industry sectors.

In the hedge fund sector, we have extensive expertise in advising managers on the investment funds regulatory regime in the Cayman Islands and on the various aspects of registration of funds with the Cayman Islands Monetary Authority. We regularly advise on the establishment of master-feeder structures, single entity multi-class funds and segregated portfolio company structures. We have a reputation for being at the forefront of emerging issues and working with advisors in other jurisdictions to devise cutting-edge responses.

Owing to our market-leading position in the venture capital fund formation market, our lawyers are particularly experienced in advising on venture capital fund formation, seed capital arrangements and the subsequent investment cycle including funds raising additional capital, engaging in downstream investments and fund restructurings.  We are involved in the establishment and maintenance of fund vehicles for some of the world’s best known venture capital firms and regularly undertake investment/financing transactions related to their underlying entities, with a particular focus on investments in technology and investment in to Brazil, China and India.
