CMS Portugal has extensive experience and strong capabilities assisting a roster of national and international clients, notably sponsors, lenders and the public sector in domestic and cross-border infrastructure projects in Portugal and Lusophone Africa. Our activity includes legal advice on:
• Assisting in public tenders;
• structuring PPPs;
• Preparing risk allocation matrix;
• Drafting project agreements (including by-laws of SPV and shareholder agreements, concession agreements, EPC, O&M and PPA);
• Structuring and drafting finance documentation (including term-sheet, loan agreements, common terms agreements, accounts agreements, share retention agreements and inter-creditor agreements);
• Structuring and drafting security package (including sponsor support agreements, direct agreements, and security agreements);
• Assisting during construction and operation.
Infrastructure projects bring unique challenges related to the need to allocate and balance the risks between the public and private sector; financing based on the project’s expected revenue streams; and the different private sector interests involved. The team has an in-depth knowledge across different sectors, with a particular focus on the energy and transportation sectors. It has also considerable experience in advising clients with multi-disciplinary project teams in Portugal and Lusophone Africa. We work to provide advice close to our clients’ needs.

CMS is known to represent clients in both international and domestic mandates. The lawyers assist with a variety of project finance and regulatory matters. The team also advises on the negotiation of concession agreements in the infrastructure sector as well as on energy project transactions.
