Our French corporate / M&A law team in Paris team is comprised of 15 lawyers and 3 paralegals, led by 7 partners. They constantly deal with large-scale projects involving multiple jurisdictions as well as countless day-to-day activities that help our clients manage their operations.
In Paris, we offer a full service for all types of transactions, supported where appropriate by teams in tax law, banking, competition, IP, IT, and employment. Our corporate/M&A team assists on all type of business set-ups transformation to create efficiencies, maximize use of invested capital, simplify corporate structures and entity management, or improve fiscal and regulatory compliance. We have also set up a team assigned to our clients’ corporate secretarial services.
Our assistance in M&A, whether buying or selling, includes:
- managing the legal audit (due diligences, international coordination and remedial actions before exits and after completion of acquisitions),
- drafting and negotiating contractual documentation (together with the client the strategy for the sale, purchase or co-investment, binding and non-binding offer letters, acquisition agreements and, if applicable, guarantee agreements, shareholders’ agreements, financing documentation, assistance with the implementation of indemnity/compensation clauses - parties and/or insurers)
- managing the closing procedure in its entirety
