About

Provided by Miranda & Amado Abogados

Our corporate and M&A team assists our clients in different aspects to achieve their business and financial goals. We combine legal expertise, corporate finance knowledge and experience in the business world and a number of economic areas, such as mass consumption, energy, pharmaceutical, financial, insurance, education, construction, fishing and health, to provide sound advice under a result-based approach.

Our transactional team regularly participates in the largest and most innovative and complex M&A transactions, both in the Peruvian and regional markets, across regulated sectors and industries.

Moreover, we guide our clients in matters such as partnership, joint venture, shareholder and investment agreements and, in general, in all types of transactions involving new ventures or fund raising for existing ventures.

Our corporate finance team engages in the design of business structures, especially in corporate reorganizations, and in the negotiation and management of business collaboration, joint venture, franchise, distribution and other strategic agreements.

We also structure and implement real estate investments, both for real estate investment funds and real estate developers.

Our team of consultants provides advice in the resolution of highly relevant corporate or contractual disputes and investor-State disputes, at the pre-litigation stage and, if litigation is reached, they assist the litigation lawyers in charge of the proceedings.
