Introduction

Saraf and Partners' Corporate and M&A team has advised domestic and international clients on mergers, friendly and hostile takeovers as well as acquisitions through various bespoke routes. They have also advise clients on the attendant aspects of the transactions - including the resulting reorganizations, corporate governance and legal issues.

In addition to the M&A transactions, the team regularly advises on all ancillary aspects of an M&A matter – beginning from advice on transaction strategy, regulatory approvals, entity formation, funding routes – all the way to post-acquisition advisory and attendant corporate secretarial matters, so as to ensure start to end support towards clients.

  • Advised Reliance Capital Limited in connection with the sale of its stake in Reliance Nippon Life Asset Management Limited, the asset management company of mutual fund schemes floated by Reliance-Nippon Mutual, in a deal worth US$ 430 Million.
  • Advising Zomato Limited in connection with its investment into Grofers, in a deal worth US$ 100 Million.
  • Advising Fortis Healthcare Limited, a leading listed company in India – in connection with the issuance of shares to IHH Healthcare - in a deal worth US$ 1.1 Billion.
  • Advised V-Mart Retail Limited in connection with the acquisition of 74 value-fashion retail stores, under the brand name ‘Unlimited’. The transaction was structured as an asset transfer in an all-cash consideration deal worth US$ 20.15 million.
