We help structure the transaction and the documents to properly protect our clients’ interests and limit the risk of disputes arising between the parties. Our aim is to minimise the costs and time necessary to close the transaction.

We have deep knowledge of the Polish and European markets. We help foreign investors entering the Polish market and Polish businesses investing abroad. We cooperate with the finest foreign firms specialising in mergers and acquisitions.

We advise on all stages of the transaction. We conduct thorough due diligence of the commercial entities involved. We draft framework agreements governing the structure and specific phases of the transaction, letters of intent, preliminary agreements, confidentiality agreements, commitments and dispositive contracts transferring title to shares, enterprises, organised business lines and specific assets such as real estate. We assist in carrying out the changes necessary for spinoff and transfer of companies or enterprises from the control of one group to another, including assignment of rights and assumption of obligations under existing contracts.

Post-closing, we advise on implementation of obligations under the transactional documents, as well as duties under public law.
