Corporate/Mergers & Acquisitions

Wyatt represents organizations and individuals in all types of business matters. We counsel clients over the entire life of the business organization - from assisting the client in selecting the form of organization and organizing the business; to raising capital and financing growth; to engaging in acquisition, sale and exit transactions. Alongside our bankruptcy/creditor's rights team, we also provide counseling for clients on restructuring, workouts and bankruptcy.

Clients include a wide range of established companies and start-ups.  We also represent clients in connection with employment agreements, shareholder and buy-sell agreements and other contracts, change of control issues and succession planning. We advise boards of directors and executive management on matters such as corporate governance, including board and committee make-up, decision-making processes and strategic planning.

Mergers and acquisitions represent a significant part of our business practice. Our M&A team represents buyers and sellers, and management and investors, in all types and sizes of transactions, including mergers, stock sales, tender offers, sales of assets, spin-offs, roll-ups, corporate reorganizations and restructurings, joint ventures and partnerships.
