Effective date: 22 June 2020

The following Insight Report Terms will apply when you agree to purchase an Insight Report from us. These should be read in conjunction with the Master Terms that will also apply.

2.1 Where used in these Insight Report Terms:

(a) 'Chambers Contact' means the person nominated from time to time by Chambers as your point of contact in relation to the Insight Reports;
(b) 'Publication' means any guide, directory or material published by Chambers in any medium;
(c) 'Insight Report' means a report created by Chambers for you, containing a compilation of information and feedback received by Chambers, or otherwise resulting from Chambers' annual research into your firm which has not been published in any Publications;
(d) 'Insight Report Charge' means the charge payable by you to Chambers in respect of the Insight Report provided in accordance with these Insight Report Terms;
(e) 'Insight Report Order' means an order for an Insight Report made by sending us an Insight Report Order Form;
(f) 'Insight Report Order Form' means the form provided by Chambers which must be completed and signed on your behalf, confirming the Insight Report you wish to purchase;
(g) expressions defined in the Master Terms and used in these Insight Report Terms have the meaning set out in the Master Terms; and
(h) the rules of interpretation set out in clause 2 of the Master Terms shall apply to these Insight Report Terms.

3.1 In accordance with clause 4.1 of the Master Terms, we are under no obligation to accept any Insight Report Order, and you acknowledge in particular that we may reject an Insight Report Order in the event that we are not in possession of sufficient information and feedback to compile an Insight Report.

3.2 If you cancel an Insight Report Order which has been accepted, you will not be entitled to a refund of the Insight Report Charge if it has already been paid to us, or if unpaid, you will be liable for full payment of the Insight Report Charge.

4.1 In consideration of the Insight Report Charge to be paid by you in accordance with these Insight Report Terms, we agree to research, produce and deliver the Insight Report within a reasonable period of time.

4.2 You acknowledge and agree that we shall have exclusive editorial control over the Insight Report and the absolute discretion as to the content thereof.

4.3 We shall use reasonable endeavours to keep accurate records of all sources of information, records and any other material relied upon in the Insight Report but you acknowledge that we may not reveal any such source to you due to obligations of confidentiality owed by Chambers to third parties.

4.4 We confirm that, so far as we are aware, the facts and information contained in the Insight Report will be materially fair and accurate, except where any material is supplied by and specifically incorporated at your request.

4.5 Notwithstanding anything contained in these Insight Report Terms, Chambers accepts no responsibility for any loss or damage directly or indirectly caused to you or any other persons or body by reason of or arising out of any comments, facts, information or advice delivered in the Insight Report or otherwise supplied to you by Chambers or its employees in connection with such Insight Report.

5.1 Subject to Chambers receiving payment of the Insight Report Charge, Chambers grants to you a non-transferrable and perpetual licence to use the Insight Reports worldwide, for internal analysis and marketing purposes only.

5.2 You undertake that when reproducing the Insight Reports, or any parts thereof, for marketing purposes, you shall procure that all copies, quotations and excerpts be marked with an appropriate credit in the following terms, or such other terms as Chambers may specify from time to time, and include a backlink to the original Publication online where applicable: [from Chambers Guide [year of publication]]

5.3 You acknowledge that no rights to the Insight Reports are or will be acquired by you other than as specifically set out in these Insight Reports Terms. All Intellectual Property Rights throughout the world in the Insight Reports (except where any material is supplied by you and specifically incorporated at your request), remain owned by and vested in Chambers to the fullest extent possible.
