Antitrust and Regulated Markets

Carey focuses on cartel and abuse of dominance investigations and litigation before the Antitrust Court (TDLC), Civil Courts, the Supreme Court, and investigations by the National Economic Prosecutor (FNE) and negotiation of agreements with this agency. Carey is constantly advising clients on securing the clearance of complex M&As and joint ventures before the TDLC.

Carey advises on all types of banking and financial transactions and regulatory matters, representing domestic and foreign clients in bilateral or syndicated loans, secure and unsecured; liability management; public and private offers and placements of capital and debt, both local and international; securitisations; project financing; structured products and operations with derivatives.

Mergers and Acquisitions

Carey advises on all aspects of the negotiation, including the efficient structuring of taxes related to the transaction, investment financing, advising on corporate governance, establishing collaborative agreements between companies such as joint ventures and strategic alliances and the development of business relationships between the different parties involved in a project.

Energy

Carey advises on energy, gas and oil projects including coal, natural gas, hydroelectric power, LNG, solar, wind, geothermal, FSRU and FSU projects, including regulatory, project development, and negotiation of PPAs, infrastructure agreements, project financing, M&As and joint ventures.The firm also advises on public and private bidding processes, and the construction of transmission lines.

Mining

Carey has extensive experience advising small, medium, and large mining companies, both Chilean and foreign, that exploit all kinds of metallic minerals (copper, molybdenum, silver, gold, etc.) and non-metallic minerals (nitrates and others), on all stages of the project and its implementation, from the beginning of its activities, its full operation, until the end of the cycle with the mine closure.

Tax

The Tax Group is formed by an interdisciplinary group of lawyers and certified accountants with experience both in Chile and abroad. The firm is involved in the structuring of the most important and complex, national, and international transactions, tax litigation, family holdings and tax due diligence processes, with a practical approach which aims to give clients specific and comprehensive solutions.
