Banking & Finance:
As part of its banking and finance practice, the firm provides transactional, regulatory and compliance advise to some of the main financial institutions of Mexico, as well as to the Mexican Bank Association. These clients include banks, broker dealers, investment funds, insurance companies, non-banking financial institutions (both regulated and unregulated), as well as commercial and international clients. Gaxiola Calvo has been an active player in the public debt areas acting as counsel to both the public and private sectors.
Consulting, Research & Analysis:
The firm participates, on behalf of its clients, including different trade and commercial associations, in the analysis and negotiations of constitutional, legal and regulatory reforms on constitutional, commercial and financial matters. It also provides consulting and research services, regarding public policy and government matters, as well as related private affairs.
FinTech:
The firm has advised Mexico’s main banks in relevant FinTech projects regarding digital banking, online payments solutions, regulatory sandbox, and APIS.
Bankruptcy/Restructuring:
The firm participates in some of the most relevant credit restructuring/refinancing transactions, regarding the commercial and public sectors, whether within a bankruptcy proceeding, public debt or private credit operations. Among others, Gaxiola Calvo acted as counsel for Mexican banks during the Comercial Mexicana and housing companies bankruptcy procedures and in several public debt global restructurings, including Coahuila, Michoacán, and recently one of the most relevant refinancing operations in the State of México.
Project Finance & Infrastructure:
The firm has represented different sponsors, governmental entities, rating agencies and corporations participating in project development and financing. The firm has experience in concessions, public-private partnerships, construction agree-ments and public procurements proceedings, mainly related to highways, subways, hospitals, water plants, real estate developments and urban image with federal and state governmental entities.
Data Protection:
The firm also provides legal advice on data protection under the scope of Mexican regulation to public and private entities, including Banks. This area of expertise gives members the opportunity to support financial entities in the preparation of and/ or analysis of certain privacy notices and the execution of agree-ments for the provision of services related with databases and information systems.
Mergers & Acquisitions:
The firm has acted as counsel in several acquisitions of financial and commercial entities, including those specialised in online payments solutions and functionalities, and insurance and satellite services.

Subnational Debt:
We have extensive experience in processes of state and municipal public debt operations, short and long term, including bank loans and stock market issuances. We have implemented not only individual financing, but also the global restructuring of some of the largest and most complex State public debts that have existed in Mexico. Our participation in this sector includes the design, risk analysis or instrumentation of structured financing with a source of payment in specific state revenues (FEIEF, FAFEF, ISN, road flows, etc.) and other financing schemes different from the traditional ones. We have acted as advisors to individual and union banks (ABM), state governments, trust institutions and rating agencies.
