For more than thirty years, businesses and individuals have turned to LPGM for strategic, pragmatic and innovative advice. Applying years of experience at New York's largest firms and prosecutors' offices to a boutique setting, LPGM's attorneys efficiently position clients for success whether in complex negotiations, arbitrations, transactions or the courtroom.

Main Areas of Practice

Commercial Litigation and Dispute Resolution: Since its founding in 1993 as a commercial litigation boutique, LPGM has successfully represented a diverse array of clients in all manner of business disputes. Our clients include financial services companies, Fortune 500 and 1000 corporations, partnerships, joint ventures, small service providers, entrepreneurs and individuals in the United States and abroad. LPGM's commercial litigators have earned numerous accolades across the country for their insights, professionalism, tenacity and successes. And when conflicts or other circumstances warrant, prominent international law firms regularly turn to LPGM to represent their clients in commercial disputes, litigation and alternative dispute resolution.

Securities Litigation and Regulatory Investigations: LPGM regularly defends investment advisors, investment companies, and hedge funds, as well as their officers and directors, in class, derivative and other federal and state court litigation arising under the Securities Act of 1933, Securities Exchange Act of 1934, Investment Company Act of 1940, Investment Advisers Act of 1940, the Martin Act, and common law. LPGM has successfully handled high-stakes litigation and enforcement matters covering issues such as valuations, investment objectives and strategy, risk disclosures, insider trading, financial and liquidity reporting, performance and distributions. The Firm's attorneys are experienced in cases involving equities, bonds, options, derivatives and other financial instruments and structures. Enforcement matters typically involve offices of the U.S. Securities and Exchange Commission nationwide, the Commodity Futures Trading Commission, and FINRA.

Insurance Coverage: LPGM is a recognized leader among New York firms in the representation of insurance companies. The Firm’s insurance practice group represents carriers in a wide variety of first and third-party coverage matters in state and federal courts across the country, including litigation, acting as monitoring counsel, and providing claims advice in the context of commercial general liability, first-party property, professional liability, environmental, employment practices, construction, not-for-profit, and other types of coverages.

Employment: The Firm regularly advises employers and senior executives on all aspects of employment agreements, and its attorneys have extensive experience in negotiating, analyzing and preparing employment contracts, confidentiality agreements, bonus plans, equity-based compensation arrangements and severance agreements. To help employers avoid litigation, LPGM assists clients in developing appropriate hiring, employment and termination procedures, including the preparation of employee handbooks, sexual harassment policies and training manuals. LPGM also conducts workplace investigations involving allegations of harassment, discrimination and other illegal activities. If litigation or arbitration is necessary, the Firm's attorneys effectively handle all types of employment claims, including breach of employment contracts, violation of non-compete agreements, theft of trade secrets and confidential information, and allegations of discrimination or sexual harassment.

Other Practice Areas

Corporate, Securities and Other Business Transactions: The Firm’s corporate attorneys have decades of experience advising clients across a broad spectrum of industries in mergers and acquisitions, private securities offerings and regulation, and in connection with other business contracts. Representative areas include domestic and cross-border mergers and acquisitions of corporations and limited liability companies; raising debt and equity in private transactions; financing transactions, including asset-based lending and complex international trade payments; structuring U.S. assets held by foreign investors; and creating business structures and governance programs for domestic and foreign business entities, joint ventures, and pooled investment vehicles.

Bankruptcy and Creditors' Rights: Whether leading financially challenged businesses through Chapter 11 restructuring or fighting for the rights of creditors involved in business disputes or a debtor’s insolvency, LPGM leverages the skill and experience of its multidisciplinary team to win maximum strategic advantage for its clients. Comprehensive services for businesses of all types and sizes include restructurings, foreclosures, out-of-court workouts, and state-law collection proceedings on behalf of creditors. A “one-stop shop” with experience in all areas of bankruptcy law — from dealing with the minutiae of Chapter 11 of the Bankruptcy Code to working with the big-picture strategic realities of multinational banks and corporations — LPGM's Bankruptcy and Creditors’ Rights team is well-positioned to obtain optimum results.
