Counsel to Udenna Corporation in relation to its equity investments in Conti’s Holdings Corporation, the restaurant and bakery chain Conti’s; and, the Wendy’s Company making Udenna the master franchisee of Wendy’s in the Philippines.
Counsel to Aboitiz Power Corporation in relation to the US$579M acquisition of 49% voting interest and 60% economic interest in AA Thermal, the thermal company of AC Energy, Inc., a wholly owned subsidiary of Ayala Corp. AA Thermal’s portfolio includes AC Energy’s limited partnership interests in GNPower Mariveles Coal Plant Ltd. Co., the owner and operator of an operating 632-megawatt coal plant in Mariveles, Bataan, and in GNPower Dinginin Ltd. Co., the developer and owner of a 1,336-MW supercritical coal plant project in Dinginin, Bataan, which is currently under construction.

Advised the Asian Development Bank (ADB) and its client, the Bases Conversion and Development Authority (BCDA) in the competitive selection process for the selection of a joint venture partner for the development of the electric power distribution system in New Clark City. Extensive drafting and negotiations assistance in the finalisation of the Concession Agreement was provided. Project has been awarded.
Counsel to Chelsea Logistics Holdings Corp. in the unsolicited proposal for the development, operation and management of Davao International airport. Client was awarded the original proponent status for the Davao airport project.

Conflict Resolution:

Currently representing two officers of Sanofi Pasteur, Inc. who have been impleaded as respondents in the criminal cases filed with the Department of Justice (DOJ) in relation to the Dengvaxia vaccine controversy. The DOJ has already issued a resolution dismissing the cases against these two officers.
Counsel to four power generation companies in connection with the landmark case decided by the Philippine Supreme Court which emanated from the petitions filed against the Manila Electric Company (MERALCO) and various power generation companies in relation to the Competitive Selection Process requirement for power supply agreements.
