Main Areas of Practice

Corporate/M&A: Tannenbaum Helpern represents clients in mergers, acquisitions, joint ventures, license agreements, public offerings, private placements, recapitalizations, venture capital, lending transactions as well as business formation, corporate and partnership structures, operating agreements, contract negotiations and a wide range of corporate matters. Over the past several years, our attorneys have completed numerous transactions and have the experience to represent our clients in a manner designed to maximize deal value and reduce post-closing issues.


Construction & Design: The firm’s Construction & Design Practice offers counseling, transactional and litigation services to our clients in the form of advice on the structure and cost effectiveness of various forms of design and construction contracts; problem solving and claims avoidance; preparation and negotiation of design and construction contracts; and representation in mediation, arbitration and litigation. We pride ourselves on our knowledge of the construction and design industries and the state of the “market” as regards current business and legal terms in contractual arrangements.


Investment Management: Tannenbaum Helpern’s Investment Management practice is internationally known for its boutique nature and ability to provide extremely knowledgeable and cost-effective advice to clients in all areas of the investment management industry. Our clients span the private capital continuum and include venture capital, private equity and hedge funds, independent investment advisors and wealth management firms, family offices and broker-dealers. Our fund clients sponsor a wide variety of products, including products focused on Real Estate, Credit, ESG/Impact, Blockchain and Cannabis-dedicated investments, among others. Our practice is truly multi-disciplinary in nature, providing guidance with respect to federal and state securities laws, corporate and partnership regulations, intellectual property, tax, real estate, employment, and dispute resolution. Combining our knowledge of relevant laws and regulation, industry practice and our clients’ goals, we advise on a wide variety of transactional and commercial matters, litigation, arbitration and regulatory investigations as well as with respect to estate planning.


Intellectual Property: Our attorneys are skilled in strategically evaluating, protecting, registering, and enforcing intellectual property rights, helping clients create and maximize the value of their intellectual property portfolios, minimizing legal risks so that clients can focus on their business objectives, and successfully resolving and litigating domestic and international intellectual property disputes. We also work closely with clients to develop local and global branding strategies and create bespoke programs to police and enforce their brands.


Litigation and Dispute Resolution: Tannenbaum Helpern’s Litigation and Dispute Resolution Practice is best known for helping sophisticated clients reach practical solutions in business disputes, particularly in New York’s Commercial Division, Appellate Divisions, and the New York Court of Appeals. The firm has substantial expertise in representing real estate developers, hedge funds and private equity funds, broker-dealers, and financial services firms in a broad range of commercial litigation involving claims of breaches of contracts, breach of restrictive covenants, fraud, unfair competition

and other commercial torts and statutory claims.


Real Estate: Tannenbaum Helpern’s Real Estate attorneys have decades of experiences addressing the complex issues that arise in sophisticated transactions. The practice has deep experience in

representing sellers and purchasers in sale and acquisition of commercial real estate investments across the U.S., including with respect to multi-family, hospital and healthcare facilities,

condominiums, mixed-use developments, office, industrial, hotel and retail properties; representing sponsors, developers and private equity funds in joint venture transactions with respect to real estate investments; representing borrowers in connection with all areas of real estate finance, including construction loans, bridge loans, mezzanine loans, and permanent and securitized mortgage loans; representing institutional and non-institutional landlords in connection with office, retail and industrial leasing; and representing corporate users of real estate, including in the acquisition and leasing of office, retail and warehouse/industrial properties across the U.S.


Tax: Tannenbaum Helpern’s tax lawyers work closely with the firm’s clients and across various practices to structure transactions to achieve highly favorable tax results, by understanding the relevant tax issues and economic factors to provide creative solutions to help clients achieve their business, financial and personal goals. In addition to domestic clients, Tannenbaum Helpern’s Tax Law practice consists of advising non-US business entities in the tax optimization of their entry into the U.S. market. Trusts & Estates: Tannenbaum Helpern’s Trusts & Estates practice encompasses all aspects of estate planning and administration, including international estate and tax planning for U.S. citizens

and nonresident aliens with global interests, family business succession planning and Patriot Act compliance for tax-exempt organizations. Our attorneys advise clients in connection with

succession planning for privately-held companies and partnerships including the implementation of buy/sell agreements and concordant insurance strategies, structuring of derivative insurance

products, business trusts and entity design for investment purposes, and administration of large and complex estates and trusts concerning all types of assets including commercial real estate and

closely-held business interests. Further, the group represents clients in audit defense before the Internal Revenue Service, with respect to all matters coming before the Surrogates’ Court, and in
