Cristina Reichmann is a partner in the Finance department at CMS Romania and Head of Capital Markets, FIS and Structured Finance practice in Romania. She has over 20 years of experience advising on capital markets and corporate law, banking and finance, as well as on financial instruments and services.
Cristina’s expertise includes all types of financing through capital markets, equity and debt offerings, including MREL bonds, Tier 2 bonds, IPOs/SPOs on the local or international markets, takeover public offerings and squeeze-out procedures, acquisition and disposal of financial instruments (on regulated markets, as well as through ATS/MTF and OTC), investment funds, alternative investment funds, and asset-management companies.
In addition, Cristina has experience in regulatory aspects in relation to the operation of financial markets and operators, European directives and regulations on capital markets and derivatives.
She regularly advises on regulatory and compliance matters, mainly triggered by the application of EU Regulations (e.g. MIFID2, changes to Prospectus Regulation, EMIR), by Romanian residents participating in multi-jurisdiction investments and/or delivery of financial services, as well as by the regulations implementing new trading concepts / mechanisms under Romanian law (e.g. global accounts, trading outside the regulated markets, derivatives trading, links of the local depositary and settlement systems to large international settlement systems for trading Romanian originated securities).
Cristina is a member of the Arbitration Chamber of the BSE and she was involved in the task-force of the Financial Supervisory Authority for the implementation of MIFID II, EMIR, changes to local law related to EU Prospectus legislation, as well as in drafting the Romanian legislation regarding covered bonds and securitization law.
Cristina also has a wide experience advising on various types of innovative financing products and on a broad range of regulatory and compliance matters within the financial services sector. Her experience includes advising on receivables financing, NPL transactions, asset-backed finance, treasury finance (factoring, cash pooling), municipal finance, equity and debt offerings, payments and digital finance, film financing.
Cristina is an expert lawyer in FinTech, payments and digital finance, being at the forefront of innovation and digitalization in the financial sector. Cristina is also co-head of the Fintech/Payments Specialisation CMS group.
Recent work includes open banking-related projects, digital transformation in banks and financial services, e-money, BNPL structures, ATM sharing, PSD2 aspects, and financing through new technologies. She has substantial experience in working on complex, multi-jurisdictional projects throughout CEE, providing assistance to traditional and new players in the finance industry, from traditional banks to digital banks, from big telecoms and technology-based platforms/gateways to third party providers and Fintech start-ups.
