David M. Taub, Chair of the Los Angeles Tax Department, advises clients on executive compensation and employee benefits matters, with specific emphasis on high-level executive compensation arrangements and mergers, acquisitions, financings, IPOs, and other corporate transactions. Mr. Taub represents employers and issuers in a variety of industries, and has extensive experience advising real estate investment trusts and other real estate companies.

Mr. Taub represents employers and issuers in structuring and implementing various types of compensation arrangements for senior executives and other employees, including:

• Employment agreements

• Equity arrangements

• Change in control arrangements

• Incentive compensation

Mr. Taub also counsels public and private companies, as well as private equity funds, on all employee benefits and compensation aspects of corporate transactions, including:

• Golden parachutes

• Executive compensation

• Pension and welfare plan issues

• ERISA "plan asset" issues

Mr. Taub has lectured on a broad range of executive compensation and employee benefits topics, including at the University of Southern California Tax Institute and numerous conferences sponsored by the National Association of Real Estate Investment Trusts (NAREIT). He has also authored articles and other writings on these subjects for various tax publications, including Practical US/Domestic Tax Strategies and volumes published by the University of Southern California Tax Institute.
