Howard L. Ellin is a corporate attorney concentrating in mergers and acquisitions, securities law and other significant corporate matters. He focuses on a wide variety of transactions, including private equity and leveraged buyouts, public and private acquisitions, cross border transactions, activist defense, SPACs and general corporate advice. Howard has represented clients in many of the largest and most important M&A transactions in recent years including: 21st Century Fox, Inc. in its $66 billion acquisition by The Walt Disney Company and the related pre-merger spin-off of certain businesses; Express Scripts Holding Company in its $67 billion acquisition by the Cigna Corporation; Red Hat, Inc. in its $34 billion acquisition by IBM Corporation and LVMH Moët Hennessy Louis Vuitton S.E. in its $15.9 billion acquisition of Tiffany & Co.
