Jason Kropp is a partner in the Corporate Practice Group. He practices corporate and securities law, with an emphasis on public offerings and public company representation, and representation of venture-backed companies and venture capital investors. Mr. Kropp has successfully represented clients in a variety of complex transactions and has built a substantial practice working with local, national and international clients, advising start-ups and venture-backed companies, venture capital funds, underwriters, mature public companies and buyers and sellers in mergers and acquisitions.
A significant portion of Mr. Kropp's practice consists of counseling public companies on ongoing corporate legal matters, including federal securities reporting requirements and corporate governance issues. He represents issuers and underwriters in capital markets financings. His public offering experience includes initial public offerings, follow-on equity offerings and convertible debt offerings. Mr. Kropp also advises early stage private companies on formation and financing issues and equity and compensation matters. His venture capital experience includes representing investors and issuers in initial- and late-stage venture capital financings. In addition, Mr. Kropp represents public and private companies in mergers and acquisitions, including acquisitions of both public and private companies by public companies and financial buyers. Mr. Kropp represents pro bono client, Grist.org, an online environmental news and opinion magazine.
Prior to attending law school, Mr. Kropp worked as a legislative and press aide in the office of United States Representative William Delahunt, and as a legislative intern in the office of United States Representative Gerry Studds.
