Kenneth E. Burdon represents public and private investment funds, investment advisers, financial services companies and other financial institutions in connection with the structuring and distribution of investment products, and in diverse regulatory, compliance, corporate, governance, operational and transactional matters. He advises registered investment companies, business development companies (BDCs) and their boards, public and private fund-of-hedge-funds and other alternative products, and multinational investment advisers. Mr. Burdon counsels asset management companies and other financial institutions in connection with their transactional activities and the regulatory and compliance implications of regulatory investigations and enforcement proceedings. He advises fund sponsors and underwriters in developing new investment products, IPOs of closed-end funds and BDCs, and in secondary financings; and also counsels fund sponsors and distributors, mutual funds, closed-end funds and BDCs in connection with both their routine activities and non-routine matters, such as obtaining exemptive or no-action relief from the SEC and FINRA, or in responding to shareholder activism.
