Firm Overview:

Coviello Weber & Dahill LLP (“CWD”) is a New York law firm with offices in White Plains, New York. The firm’s practice is focused on business law, commercial transactions, business disputes and commercial litigation, and employmentcounseling and litigation. The firm’s lawyers hail from elite global law firms and prominent boutiques.Founded in 2022, CWD combines highly sophisticated experience and superb client service into a more cost-efficient, smaller firm setting.

Just two years after its founding, CWD has achieved the distinct honor of Chambers’ recognition in two of its core practice areas: Corporate/Commercial Transactions and General Commercial Litigation.

Business & Corporate Law Group:

Attorneys in our business & corporate law group have decades of experience drafting myriad contracts and agreements, advising on buy side and sell side transactions, including stock and asset sales and purchases, merger transactions, private securities transactions, and other business combinations. While this experience includes larger transactions involving 8 or 9-figure amounts, CWD also routinely and efficiently represents smaller clients (often small, brick and mortar family-owned businesses) in the purchase or sale of businesses involving smaller dollar amounts. In addition, CWD’s transactional attorneys regularly counsel employers and employees on a wide variety of employment and consulting agreements, equity compensation matters, severance negotiations and other employee and executive compensation related matters.

CWD routinely provides start-up, small, and middle market clients with broad-based general corporate legal services similar to the type of services often provided by in-house corporate legal departments at a lower cost and with a greater diversity of expertise. When serving in this role, CWD attorneys become part of the client’s team, allowing CWD to provide value-added, business-savvy legal advice with a vested interest in helping our clients succeed. When engaged to provide general corporate legal services, our attorneys have frequent, substantive contact with our clients, which gives our attorneys a unique and intimate familiarity with our client's business operations. This operational knowledge allows our team to better serve clients by routinely providing innovative, practical, and cost-efficient legal services along with advice on related business issues arising during the course of such legal representation.

Our goal is to provide all of our clients, large and small, with sophisticated, value-added legal services at a fair cost, regardless of the size of the transaction or matter.

Commercial Litigation & Dispute Resolution:

CWD attorneys have years of experience handling business disputes in and out of court and across a wide range of subject matters and industries. We represent individuals and businesses at all levels and stages, from start-ups to public companies. We handle matters from pre-litigation through trial and appeal in state and federal courts, as well as mediation and arbitration. From smaller disputes to the most complex, high-stakes litigation, we are fierce advocates and problem solvers. We pride ourselves on our practical and creative approach to dispute resolution and our record of results for our clients.

CWD attorneys have deep experience with contract disputes, fraud and business torts, breach of fiduciary duty and corporate governance issues, securities litigation and shareholder disputes, bankruptcy-related litigation, professional liability claims involving attorneys and accountants, and employment disputes. Our litigation attorneys are increasingly active across a wide range of partnership disputes and “business divorces”.One of the defining characteristics of CWD is the multi-disciplinary approach and skill set of our attorneys. Our litigators regularly collaborate with our transactional, employment and tax professionals on a variety of shareholder and partnership disputes, having represented both individuals and businesses in matters including the issuance or response to books and records demands, buy-out demands, terminations for cause, minority shareholder freeze-out situations, and myriad other specific situations that require both an analysis of rights and obligations under the law and governing corporate and transactional documents, and an evaluation of the merits of associated claims and defenses. While such matters are often resolved without litigation, we view "business divorces" as the ultimate "hybrid" matter where our transactional and dispute resolution attorneys work hand in hand toward a commercial resolution where possible but prepare, from day one, to litigate if necessary.
