Corporate & M&A
The team advises on the choice of company type, incorporation, taxation, employment and regulation aspects, corporate management and control and supports clients through large-scale, local and cross-border M&As, complex corporate reorganisations and restructurings, including share and asset mergers, demergers and business separation, legal and financial analysis of a company’s capital and equity structure and reorganisation of a company’s legal forms, negotiations of transaction documents including escrow agreements and financing documents, pre and post completion security arrangements.

Competition
The team advises on both sets of unfair competition regulation (domestic and EU), dominance, cartels, dawn raids, pricing, refusal to supply, etc., in a multitude of industry sectors, including energy, agriculture, food and beverage, technology, IT, telecommunications, financial services and healthcare. The practice provides compliance support and merger control advice on domestic and trans-border M&As and other manifold transactions. Clients are represented in competition litigation before national courts and the Bulgarian Commission for Protection of Competition.

Employment
With a proven competence in social security matters, structuring of employee contracts in the context of large international groups, monitoring of compliance with employment, social security, anti-discrimination, personal data protection and employee dismissal legislation, the team helps clients to conform their workplace practices and procedures to local law. The department is equally experienced in employment litigation on matters ranging from professional injuries to mass dismissals.

Energy
The team advises on every aspect of the energy sector: nuclear, gas, mining, fuels, electricity generation, electricity distribution and supply, trading in electricity, renewable energy resources, regulatory, project finance, and litigation, and provides investor-owned utilities, energy project developers, pipelines, energy marketers, equity investors, lenders, investment bankers, governmental entities with advice on all legal, licensing, regulatory and tax aspects associated with investments in the energy sector, electricity generation and distribution, including renewable energy resources.

IP
The IP practice represents both local and multinational industrial property holders in the full range of proceedings before the Bulgarian Patent Office, EUIPO and WIPO. In addition to registration services, cross-border licensing, anti-counterfeiting and customs measures, the team concentrates on IP infringement and litigation.

Litigation, Arbitration & ADR
The practice covers all types of individual claims in all areas of business law, including banking and finance, corporate and commercial litigation, unfair competition, energy and project finance disputes, insurance disputes, IP litigation, procedures for recognition and enforcement of foreign judgments and arbitral awards, multijurisdictional litigation and international arbitration, exequatur procedures, etc., as well as arbitration, debt restructuring, debt-equity swaps, as alternative methods of enforcement.

Real Estate & Construction
The team assists on the development and realisation of large-scale projects, real estate and construction arbitration and litigation, FIDIC arbitration proceedings and FIDIC drafting; covers the entire property ‘life-cycle’ including acquisitions and dispositions, land use, planning and development, construction, financing and joint venturing, establishment of mortgages, environmental law, insurance, etc.

TMT
The team provides the full range of legal services pertaining to the technology, IT, media and telecommunications sectors. Major local and international sector undertakings are supported in projects for incorporation, structuring, M&A, licensing, contracts, information security, regulatory and contentious matters, supply and use of information technology, networks and telecommunications, ISP and broadcast services.
