Mergers & Acquisitions
Our Mergers & Acquisitions practice focuses on both domestic and cross-border transactions, including mergers, stock and asset purchases, leveraged buyouts, joint ventures, private equity, and corporate reorganizations. Our team of diverse attorneys is especially well-equipped to handle the challenges and nuances present in cross-border transactions given their experience, knowledge of different jurisdictions, innovation and teamwork.
Finance
Our Finance practice specializes in structured finance, asset-based financings, acquisition finance and leveraged acquisitions, recapitalization transactions, syndicated and bi-lateral loans. We leverage our deep knowledge of the debt financing market to represent borrowers, funds, lenders, and financial sponsors across a wide range of industries.
Corporate
RC Law regularly assists non-US companies in establishing a presence in the United States, advising on the choice of entity and jurisdiction (which is often tax-driven), forming the selected vehicle, and generally, guiding the client until the new company is ready to operate. From then on, we provide recurring advice on corporate governance and compliance. In addition, we have particularly strong expertise in contracts and commercial law.
Venture Capital
RC Law focuses on supporting companies at every stage of the capital-raising process. The firm advises a broad range of clients from entrepreneurs and emerging businesses in seed funding to growth stage and exit strategies, as well as investors, including angel investors, VC funds, family offices, among others. RC Law is also seasoned in the preparation and negotiation of different investment instruments, such as SAFEs, convertible promissory notes, hybrid instruments combining debt and equity, and private placement of equity interests, including preferred stock issuances.
Real Estate
RC Law’s real estate practice offers clients a broad range of representation, from residential and commercial properties purchase and sale transactions to complex real estate development, investment, management, financing and leasing in a wide variety of industries, ranging from luxury retail to hospitality.
- RC Law advised Teckel Medical in the acquisition of 100% of the equity interests of Sensely Inc., a California-based conversational platform focused on the health and pharma industries, and its UK subsidiary.
- RC Law represented KCE, S.L.U., as seller, in the cash merger of CTL Packaging USA Inc., a North Carolina company dedicated to the development and manufacturing of flexible tube packaging solutions for different industries such as cosmetics, pharmaceuticals, oral care and food. Purchaser was ShawKwei & Partners, a Singapore/Hong-Kong private equity.
- RC Law advised Falabella Ventures on their investment in Simetrik’s Series B round, a LatAm company specializing in generative AI technologies. The Series B round raised $55 million and was led by Goldman Sachs.
- RC Law advised Azvi, Spanish group engaged in the railway infrastructure industry with a presence in Europe, the United States and Latin America, in securing a US$20M confirming line from IDB Invest for its operations in Latin America.
- RC law advised CAIXABANK, a Spanish bank, on the Loan amendment regarding a real estate finance facility to Porven (Porcelanosa)’s flagship building in New York City.
- RC Law advised Ferrado Offices, an affiliate of Ferrado Properties, in connection with the purchase of a real estate property located in Boston, MA.
