Venture Capital & Emerging Companies

Our clients include founders, angel investors, buy-out funds, venture capitalists, institutional investors, venture lenders, financial advisors and other participants in venture markets globally.

Private Equity & Funds 

Our Private Equity and Funds practice has guided both new and established funds through the process of structuring their alternative assets.​ The practice has formed U.S. and off-shore funds utilizing structures that complement each fund’s investment strategy. Our clients include private equity, venture capital and hedge funds that seek our expertise in fund formation and advice on issues pertaining to U.S. securities regulation, broker-dealers, investment companies, and investment advisors.​ The operation of an investment fund is a complex matter and our attorneys are sensitive to, and experienced in dealing with, the problems that can arise. The gamut of situations we have encountered provides knowledge and foresight, and we draw upon these when advising clients on entity structure and negotiating and preparing fund agreements.​ Our private equity and funds attorneys work closely with our securities practice and tax counsel to structure funds and their management companies in ways that are most efficient from a tax and operational point of view and that comply with the various regulations affecting private equity, venture capital and hedge funds.​

Our M&A practice has represented clients in stock and asset acquisition and dispositions; mergers; strategic alliances; joint ventures; leveraged buy-outs; ‘roll-ups’;and recapitalizations and reorganizations.We frequently represent our venture capital backed clients in their sell side exits to both financial and strategic buyers.​
