Banking, Finance & Capital Markets:

Sarantitis has been involved in this field of law, since the ‘70s, when it established, in Greece, NatWest Bank (remaining the exclusive local counsels until the year 2000, when NatWest sold its Greek operations). Corporate & M&A:

A significant highlight, is advising the Greek multinational industrial Group on all aspects, including designing and implementing M&A and other commercial transactions, in more than ten foreign jurisdictions. Recently, Sarantitis advised on the change of seat of the Group’s parent company, a complicated transaction implemented flawlessly, despite the geographical extent of the Group’s participations. Sarantitis advised a group of investors on the acquisition of 49% of AVIS Greece, from Piraeus Bank, as well as on an equity investment, in one of the biggest Casinos in Greece. Dispute Resolution:

The firm constantly represents HSBC Bank Plc (Athens) and HSBC Private Bank (Suisse) S.A. in major litigation matters in Greece, including disputes regarding investments in sophisticated financial products. Sarantitis also represents a group of the biggest insurance companies of Europe—including Allianz—in a lawsuit of more than 180 million Euros value and one of the major US corporations, in a litigation with a $150 million euros value. A recent highlight is the successful outcome in a litigation before the Supreme Court, where Sarantitis represented a Greek Corporation against the Greek State and achieved the dismissal of a petition for cassation of a Court of Appeal decision adjudicating in favour of such corporation, regarding a 200 million Euros claim it had brought against the Greek State. EU & Competition:

Projects & Privatisation:

Sarantitis recently advised TERNA SpA Italia, in the bidding process for one of the major privatisations, which was the sale of the Greek Operator for the Hellenic Electricity Transmission System, the ‘Independent Power Transmission Operator S.A.’ (ΑΔΜΗΕ). In recent years, the firm also advised a client on two significant privatisations: the sale of a stake in dairy company Dodoni, and of a 83% shareholding in Hellenic Sugar Industry.

Real Estate & Construction:

Restructuring / Insolvency:

Highlights include advising the Maillis Group on its EUR280 million financial restructuring in 2011 and on a new debt restructuring, with a financial investor, in June 2014, which included implementation in more than ten different jurisdictions. In 2014-15 the firm advised on the pre-pack financial restructuring of the Casino of Rhodes, and in 2017, it advised on the pre-pack debt restructuring (€148 million) in respect of the Loutraki Casino. Furthermore it has advised one of the major Greek Banks on the review of 150 NPEs of corporate debtors, in the hotel and leisure sector etc. Team headed by Dorotheos Samoladas.

Shipping Finance:

The firm has a track record representing ship owning companies and financial institutions in syndicated lending, acquisition of second hand and newbuilding vessels, capital market products, loan restructurings and shipping workouts. It recently advised a major international bank on shipping loans totalling over $208 million. Sarantitis also advised HSBC for the transfer of its Piraeus shipping loan portfolio to the UK office. In 2017, Sarantitis advised the owners of a major Greek shipping group, in establishing a new bulk carrier operation and in acquiring a number of bulk-carriers for the new fleet.

Tax:
