DZP advised Ingka Group companies on a strategic merger of the two main Polish companies, i.e. IKEA Retail sp. z o.o. and IKEA Property Poland sp. z o.o.
Ingka is one of the world's largest companies selling furniture, home furnishings, and home and garden decorations, and has operated for over 70 years. Ingka, which operates the IKEA stores, has 422 stores on more than 50 markets around the world. In 2018, IKEA Retail had retail sales of €38.8 billion.
Our advisory services to the Ingka Group included the comprehensive planning and execution of the merger in legal and tax terms. The restructuring carried out by the client was unconventional, as it included the roll-out of a multi-level structure of companies.
The advice to the client was provided by a team coordinated by Przemysław Furmaga. The team comprised Aleksandra Czarnecka from the Corporate and M&A Practice, Agata Mierzwa, Justyna Tyc-Brzosko and Paulina Janas from the Labour and Social Security Law Practice, Joanna Wierzejska and Tomasz Leszczewski from the Tax Practice, Lech Żyżylewski, Hubert Plater-Zyberk and Marcin Niemyjski from the Real Estate Practice and Daniel Chojnacki from the Environmental Protection Team.
