Estudio Echecopar, member firm of Baker Mckenzie International advised IDB Invest, CIFI Sustainable Infrastructure Debt Fund L.P. and CIFI Latam S.A on a loan granted to Proyecto Ventanilla S.A.C. for an aggregate amount of USD 65’300,000.00 for the development and operation of a warehouse facility located in Callao, Perú. The loan agreements and the sponsor support agreement are governed by New York law, whilst the securities are regulated by Peruvian law. The securities included a Cash Flows Trust Agreement, an Asset Trust Agreement (real estate, certain agreements and shares), and a pledge over bank accounts.
This transaction featured a number of complexities, including but not limited to (i) coordinating with all parties (both in Peru and the United States) and reaching balanced agreements; and (ii) structuring the operation to comprise a number of stages (which were made to reflect the project’s different construction and development phases).
Proyecto Ventanilla S.A.C., is a special purpose company established in Peru to build and operate the Almacenes del Norte logistics park, located in the district of Ventanilla, Constitutional Province of Callao, Peru (the "Project"). The Project is located 20 km north of Jorge Chavez International Airport, 25 km from the Port of Callao and 40 km from the Port of Chancay.
