The Real Estate & Hospitality is one of the team core practice areas, they recommend legal structures for the development and marketing of real estate projects, including REITS, and legal counsel to tourism industry companies in designing time-share or full-time projects, vacation clubs, fractional ownership and mixed regimes in real estate projects. They design and prepare time-share regimes, rules and regulations, real estate trusts, marketing and operating agreements, and timeshare and club membership agreements, they carrie out filings and petitions before federal and local authorities, including registration of standard-form agreements before the Consumers Protection Agency, and provide advice in real estate transactions and trusts, housing projects, industrial parks and construction turnkey, operation and management as well as project loan agreements.

The team’s M&A experience includes advising investors, buyers and sellers. They provide effective advice to investors in forming strategic alliances and joint ventures to invest in Mexican companies, design innovative investment structures to carry out equity and asset acquisitions, capitalizations, mergers, spin-offs, stock combinations and public tender offers, and prepare and negotiate shareholders’ agreements to exercise corporate and economic rights, conflict resolution mechanisms, corporate governance and exit strategies. The team’s experience also includes antitrust, foreign investments and other administrative filings.
