This analysis arises from the shift in Jasa Marga’s role from being both a regulator and an operator to exclusively serving as an operator.

• Islamic Boarding School ‘Tahfidz Al Qur’an Said Bin Tsabit’ – Successfully providing pro bono legal assistance in filing a police report related to allegations of sexual harassment under LP/B/878/IV/2022/SPKT/POLRES METRO BEKASI/POLDA METRO JAYA dated 14 April 2022. The case involved assisting 30 victims in identifying and determining the perpetrator as a suspect, resulting in subsequent detention. The case file has been transferred to the Public Prosecutor's Office of Bekasi Regency, with the perpetrator now awaiting trial at Bekasi District Court. This pro bono service reflects our commitment to uphold justice and provide legal aid to the community.

• PT Aneka Tambang Tbk (ANTAM) – Assisting Partners in advisory work for PT Aneka Tambang Tbk (ANTAM) by preparing a legal opinion and accompanying them in meetings with the Financial Services Authority. The advisory covers aspects of material transactions and affiliated transactions based on capital market sector regulations, regarding several planned transactions to be carried out by PT Gag Nikel (PTGN), a controlled company of ANTAM, with strategic partners. These transactions involve pre-payment agreements, ore supply agreements, share purchase agreements, shareholder loan agreements, and shareholder agreements. The aim is to ensure that ANTAM and PTGN can execute their planned transactions smoothly and in full compliance with regulatory requirements.

• PT Waskita Toll Road (“WTR”) – Advising and assisting WTR and and its subsidiary PT Waskita Transjawa Toll Road in the IDR 5.8 trillion toll road divestment project involving Indonesia Investment Authority (INA) as the purchaser. This divestment is part of the major loan restructuring deal secured by PT Waskita Karya (Persero), Tbk. (IDX: WSKT) last year and put INA’s participation in the toll road business. The toll road divestment comprised several sequences of work from the selling of Toll Road Business Entities (Badan Usaha Jalan Tol/BUJT), which own the concession of Kanci-Pemalang and Pejagan-Pemalang toll roads, subscribe-and-redemption of Limited Participation Mutual Funds (Reksadana Penyertaan Terbatas/RDPT) in PT Waskita Transjawa Toll Road, and to the novating intra-company loans.

• Ministry of Transportation – Legal advisor in the Project Management Consultant overseeing the BRT Project in Bandung and Medan. Responsible for managing legal aspects related to Bus Rapid Transit (“BRT”) initiatives in both cities. Furthermore, advising the Client on the regulatory adherence facilitates the BRT projects, funded by the World Bank, to progress smoothly, ensuring timely execution. Additionally, enhancing stakeholder collaboration contribute to the overall success of the BRT Project, emphasizing its legal soundness, risk mitigation, and alignment with broader transportation objectives at the Ministry level with World Bank funding.

• PT Penjaminan Infrastruktur Indonesia (Indonesia Infrastructure Guarantee Fund “IIGF”) - Legal advisor of IIGF for Singkawang Airport PPP Project in: (i) formulating the Final Report of the Final Business Case of theProject; (ii) identifying legal concerns within blended financing schemes encompassing state sharia bonds and PPP; (iii) analyzing regulations pertaining to the utilization of Government assets; (iv) analyzing regulations in relations to airport operations; and (v) providing legal assistance during the transaction stage of the Project (e.g., the tender, signing of PPP agreement, as well as financial close of the Project).

• PT Penjaminan Infrastruktur Indonesia (Indonesia Infrastructure Guarantee Fund “IIGF”) - Legal advisor for IIGF related to the provision of Household Gas Pipeline Project in Palembang, from the Project preparation stage to the fulfillment of financial close, and the Project implementation stage. This encompasses, but not limited to the drafting of: (i) inception report; (ii) outline business case; (iii) final business case; as well as (iv) procurement documents in the form of RfP and project information memorandum. In addition, the legal services is also to provide assistance to the Minister of Energy and Mineral Resources as the GCA, including conducting market sounding and market consultation, conducting real demand survey (RDS) with other consultants, engaging in capacity-building activities, and providing support in securing Government facilities for the Project.
