Banking and finance

Wilson and Morgan represents banks, financial institutions, borrowers in secured and unsecured lending, bridging finance and non-cash facilities. The firm provides legal guidance on transactions, conducts due diligence for lenders, prepares financing documents and security documents. The Firm recently completed a due diligence involving a multi-million-dollar syndicated loan for 2 local banks and an international financial institution. It is currently carrying out a due diligence for an agricultural company in order to assist it in obtaining a loan facility.

Corporate finance

The Firm advises on corporate transactions for public and private companies. The Firm acts as legal advisors in mergers and acquisitions and for purchasers in other transactions.The Firm acted for the Public Private Partnership Commission. It acts in corporate finance transactions and issue of corporate bonds and assisting in raising capital through rights issue and issues for cash. In 2024, the Firm assisted Blantyre Hotels Limited in raising millions of dollars on the Malawi Stock Exchange (“MSE”) through a rights issue.

Litigation and Arbitration

The Firm represents clients in litigation and arbitration proceedings in contractual disputes, public liability suits, competition and fair-trading violations, tax law, libel and defamation, debt collection, human rights violations, breaches of trusts, criminal law and many other suits. In 2024, the firmassisted a local bank in successfully appealing against tax non-compliance claim helping the bank save close to One Million USD$ in tax penalties. It also assisted an international manufacturing company in securing an award in excess of 2 million USD$ in a claim for breach of contract.

Conveyancing and drafting

The Firm is a forerunner in conveyancing, commercial drafting and general drafting. The Senior Partner, Arthur Alick Msowoya established himself as the repository of skill and great knowledge in the area of drafting. He has been a lecturer in drafting and conveyancing at the Malawi Institute for Legal Education (“MILE”) from its establishment until 2023 to 2024. The Firm assisted a client in the fertiliser industry to negotiate and conclude a U$453 million fertiliser sale and purchase agreement involving multi-currencies as well as commodities exchange.

Insurance and pension funds

The firm acts for life insurance companies, general insurance companies and pension administration companies.It also assists clients in establishing pension funds.

Intellectual property practice

Driving one of the largest and most vibrant intellectual property practices in Malawi, with global partners, its services include; conducting searches; registering marks; handling renewal applications, recordals and mergers; cancellation proceedings and opposition proceedings locally and internationally (e.g., ARIPO & WIPO). Wilson and Morgan has successfully represented major clients like Coca-Cola; American Express, Total S.A & AVIMA PTY in opposition proceedings.
