Mrs. Uruçi is a Partner at Boga & Associates, which she joined in 1999.

She practices in the areas of concession and energy, where she manages energy assignments on any regulatory, corporate and commercial aspects, including international arbitration proceedings.

Mrs. Uruçi has extensive experience in providing regular tax advice to commercial companies, for corporate tax, VAT, employees’ taxation matters, involvement in the management of several tax aspects of mergers and acquisitions transactions, tax planning and restructuring.

In addition, she has assisted clients in their acquisitions of Albanian targets, including tax and legal due diligence, structuring of the acquisition transaction, assisting in the preparation of the transaction documents and the respective closing.

Work Highlights

OTP Bank in relation to the purchase of ALPHA Bank Albania by OTP Bank for EUR 55 mln. Local counsel for Albanian law matters working in cooperation with the lawyers of Bird & Bird. Our work consisted in conducting legal due diligence, review on the transaction documents; assistance with regulatory filings (competition authority and banking authority) and other.

Devoll Hydropower (part of Statkraft group) - legal assistance with regard to implementation of the concession agreement for the two hydropower plants in Devoll river; advice in permitting process; legal and tax advice during the negotiations with the Ministry of Energy of two amendments of the concession agreement, providing (inter alia) for the introduction of a special VAT regime.

Statkraft Renewables Albania - legal assistance with regard to the implementation of a 2MW photovoltaic floating plant in Banja reservoir. Our assistance included advice on the legal and regulatory framework and permitting process, review and comment on project agreement, advice related to water use permit regulations and tariffs etc.

Statkraft AS - legal assistance in connection with the participation in the bid for the construction and development of photovoltaic plant in Akerni (Vlora), including advice related to regulatory, land, environmental, tax and other issues affecting the project as well as review and preparation of bid documents.

3Power Shala Shpk legal assistance with regard to the negotiation and execution of the Concession Agreement on Shala river in Albania.

Banka Kombetare Tregtare regarding the financing of several hydropower plant projects. Our work was focused in the review the loan agreement, security agreements, collection of the CPs, issuance of legal opinions and filings with relevant Albanian authorities of Albanian security documents.

Procredit Bank. Assisted the client with various corporate governance queries, including shareholders' rights concerning management, the organization of management, and their duties in accordance with banking and commercial law. Provided ongoing advice to the client on corporate governance matters.

Stork Albania Mineral Resources Shpk. (a company of Stork International) regarding the acquisition of three mining licenses; advise on preparation of documents to be submitted to the authority to obtain prior consent on the licenses transfer.

Fushe-Kruja Cement Factory Shpk. with regard to the validity and renewal of the existing licenses and permits, including mining permit. Our assistance consisted of conducting a limited legal due diligence of the licenses and permits obtained by the company.

Bankers Petroleum Albania, a Canadian company operating in the petroleum sector in reviewing hydrocarbon agreement and other legal documents; issuing of legal opinions. Legal advice in the process of the acquisition of shares of Bankers Petroleum by affiliates of Geo-Jade Petroleum Corporation.
