Allan Cohen, office managing partner in our Long Island office and a member of the firm’s Policy Committee, represents a variety of companies, ranging from large and middle-market companies engaging in mergers and acquisitions to closely held and family-owned businesses engaging in transactions or otherwise in need of outside legal advice to technology-based startups organizing new business ventures and raising capital.
Allan represents a variety of companies, ranging from technology-based startups, to mid-sized closely held and family-owned businesses, to large public companies. Allan dedicates much of his practice to emerging companies in the formation and organization of their businesses, seed, angel and VC financings, and general business advice. Allan also focuses on mergers and acquisitions, including buy-side work and sell-side work to strategic and private equity acquirors. He is involved in a wide range of industries, including health care, medical device, life sciences and biotechnology, manufacturing and distribution, food and beverage, and consumer products. Allan distinguishes himself by his adeptness at handling his clients’ varied legal needs and providing the type of business-minded outside counsel that companies would expect from an in-house general counsel. His clients view him as the “quarterback,” ensuring that not only their business law, but also their intellectual property, employment, litigation, regulatory and other legal needs are met.
I maintain a transactional and general business law practice, adept at handling my clients’ varied business needs and providing the type of business-minded advice that businesses would expect from an in-house general counsel. I dedicate much of my practice to mergers and acquisitions, including buy-side work for public and private companies and sell-side work for closely held and family-owned businesses. My M&A transactions involve a wide range of industries, including healthcare, medical device, life sciences, food, consumer products, and insurance. Over my career, I have closed well over 200 M&A transactions.
Emerging companies also represent a significant part of my practice, including biotech, medical device, and other technology-based companies; I assist with business formation and organization and seed, angel, venture capital, and private equity financings. Much of my work is for “serial entrepreneurs” who have exited prior businesses and are starting their next ones.
Technology-based and other companies that flourished during the pandemic will provide a hedge against economic uncertainty and fears of a recession. The greatest success will go to entrepreneurs that identify where the post-pandemic business world will be and get there before their competitors.

Allan Cohen is well known in the Long Island business, philanthropic, and civic communities. He is on the advisory boards of the Long Island Food Council and Pro Bono Counsel to Erase Racism.
Past affiliations include service on the boards of directors of Phoenix House of New York and Phoenix House of Long Island, membership on the steering committee for the New York State Innovation Hot Spot Program, membership in the Long Island Angel Network, committee membership for the Coalition on Child Abuse and Neglect, consultancy to Junior Achievement, and membership on the Touro Law Center’s Technology and the Law Advisory Committee.
Allan is a member of the American, New York, and Nassau County Bar Associations. He is former secretary of the Retail Financial Services Committee of the Association of the Bar of the City of New York.
