Work Highlights

Significant transactions that Bernadette has been involved in include advising / acting for the following:

- United Overseas Bank Limited, Citibank N.A., Singapore Branch and The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch in the grant of term and revolving credit facilities of approximately S$1.2 billion to the relevant borrowers in connection with, inter alia, the acquisition (and privatisation) of Soilbuild Business Space REIT which was listed on the Singapore Exchange, SB (Waterview) Investment Pte. Ltd. and SB (Waterfront) Investment Pte. Ltd. by the Soilbuild Group Chairman (Lim Chap Huat) and The Blackstone Group Inc.

- DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited, United Overseas Bank Limited and Standard Chartered Bank (Singapore) Limited as lenders and mandated lead arrangers in the S$535 million syndicated financing to Singtel’s data centre subsidiaries. This marks the first green loan obtained by Singtel.

- ESR Funds Management (S) Limited, the manager of ESR-REIT, in the S$700 million financing granted to ESR-REIT for the acquisition of the units in Viva Industrial Trust by way of a scheme of arrangement, which won "Best Singapore Deal" in Finance Asia's Achievement Awards 2018.

- Marina South Investments Pte. Ltd., Ophir-Rochor Investments Pte. Ltd., MS Residential 1 Pte. Ltd., MS Residential 2 Pte. Ltd., MS Commercial Pte. Ltd., Ophir-Rochor Residential Pte. Ltd., Ophir-Rochor Commercial Pte. Ltd. and Ophir-Rochor Hotel Pte. Ltd. (which are wholly-owned subsidiaries of M+S Pte. Ltd., a joint venture company 60% owned by Khazanah Nasional Berhad and 40% owned by Temasek Holdings (Private) Limited) in the amendment and restatement of the S$5 billion loan facilities granted in 2012, for the development of Marina One at Marina South (which includes office, residential, hotel and retail components) and DUO in downtown Singapore at Ophir-Rochor and the subsequent green loan refinancing of the loan facility granted for the Marina One commercial component.

- City Developments Limited in all three of its innovative financing structures (involving financing totalling approximately S$1.6 billion) as part of its ground-breaking "Profit Participation Securities" platform, involving the divestment of its interest in Summervale Properties Pte. Ltd., which owns Nouvel 18, a luxury freehold residential development located at 18 Anderson Road adjacent to the prime Orchard Road shopping belt, the acquisition of three prime commercial properties in Singapore (consisting of Central Mall, Tampines Grande and Manulife Centre) by a joint office investment platform between City Developments Limited and Alpha Investment Partners and monetising CDL's Sentosa Cove assets.

- TuasOne Pte. Ltd. (a joint venture between Hyflux Ltd. and Mitsubishi Heavy Industries, Ltd.) in the S$653 million project financing of, inter alia, the development, procurement, construction, operation and maintenance of a waste-to-energy plant with a contracted waste processing capacity of 2,400 tpd of waste and targeted to reduce the volume of solid waste by at least 90% and provide sufficiently high efficiency of electricity generation. This deal was the winner of the Asia Pacific Waste award at the renowned IJ Global Awards 2016.
