David Sorin

Practice Areas

David Sorin is a partner in the Firm’s Corporate Practice Group and a co-chair of the Global Technology Group. His national practice focuses primarily on privately and publicly owned start-up, early-stage, emerging-growth, and middle-market technology, tech-enabled and life sciences enterprises, as well as the investors, executives, and boards of directors who support and lead them. Dave has a long track record of successful representation of growth companies, having been repeatedly recognized by well-known periodicals for his legal acumen and sound business judgment. He also brings to bear a broad range of knowledge and experience in counseling enterprises and investors in diverse emerging growth markets, technology industries (including software, artificial and augmented intelligence, fintech, VR/AR, information technology, e-commerce, cybersecurity and communications), and life sciences. Dave is a thought leader in the emerging areas of blockchain, smart contracts and digital currencies—not only “talking the talk” by participating in speaking engagements and authoring articles, but “walking the walk” by representing venture capital investors and companies employing such technologies and working on matters involving tokenization financing transactions.

One industry-leading publication has recognized Dave as one of New Jersey’s top 100 businesspeople, categorizing him within an “elite group” of executives who “are the voices of their industries.” He was later identified by another industry publication as one of the region’s “top deal makers.”

Dave has been recognized by Chambers USA as a national leader in the representation of start-ups and emerging growth companies since 2017. In the recent Chambers guide, clients have commented that he “has a strong sense of business needs and can bring that to the discussion” and “is incredibly accommodating and knows what to fight for.” SmartCEO Magazine named Dave the leading lawyer in the tech and tech-enabled industry. In addition, he received the Star Influencer Award at SmartCEO’s Centers of Influence Event and was named the Legend of Technology by the New Jersey Technology Council.

Dave co-founded the law firm of SorinRand in 2009, which merged with McCarter & English, LLP in 2014. He was managing partner of the New Jersey and New York law offices of Buchanan Ingersoll & Rooney PC and of the Princeton office of Hale & Dorr LLP (now WilmerHale LLP), as well as a corporate practice area vice-chair. In addition, he served as an adjunct professor, teaching a course on high-growth corporate transactions at the Cornell Law School Technology Law LL.M. Program. Previously, Dave was a Clinical Associate Professor of Law at Drexel University and an Adjunct Professor of Law at Seton Hall University School of Law. He began his legal career at Davis Polk & Wardwell.

Dave, who is a frequent speaker, panelist, and author on issues of interest to the emerging growth and middle market sectors, also is a certified public accountant.
