Dorothy Xing is a managing partner in East & Concord Partners. Xing specializes in areas of banking and finance, capital markets and securities, corporate governance and compliance. She has been a leader in financial and securities legal services for 29 years. Xing advised on China’s state-owned enterprise reforms in the first and second round and H-share listing in 1994. She undertook the overseas red-chip listing of the first private companies and IPOs of national commercial banks. Currently, she is also the legal counsel for over ten large state-owned enterprises, listed banks, insurance companies and other financial institutions. Furthermore, she and her team have won many awards from asialaw Profiles, Chambers, China Law & Practice, IFLR1000, LEGALBAND and so forth.

Work Highlights

Xing was involved in hosting the first overseas red-chip listings of private companies in China and has undertaken the IPO of two national commercial banks:

-Helped to establish China Bohai Bank Co., Ltd., the first national joint-stock commercial bank approved by the State Council since 1996 and the first to bring in overseas shareholders at the launch stage. It was also the first commercial bank to bring in overseas shareholders at the launch stage.

Xing has been involved in a number of projects where foreign banks acquired shares in domestic banks:

-Facilitated Deutsche Bank’s strategic partnership investment in Huaxia Bank in China. This project helped the Chinese banking sector to take a key step forward in the process of marketisation and internationalisation.

Due to her deep insight into banking and financial areas that she was entrusted by more than 10 financial institutions including banks, trusts, funds, and securities companies to act as a perennial legal counsel:

-Assisted Huaxia Bank Co., Ltd. in its CNY 40 billion open-end capital bond issuance, which made Huaxia Bank the second national joint-stock commercial bank in China to successfully issue open-end capital bonds and the third commercial bank in the banking industry to complete this type of bond issuance, as well as a private offering of ordinary shares, which was named “Deals of the Year 2019” by China Business Law Journal;

-Assisted with a syndicated loan project for Altyn Bank. This project was awarded as an outstanding legal service case for the “Belt and Road · Healthy Road” on the “Law Daily” in 2020;

-Assisted in SDIC Capital Co., Ltd.’s public offering of CNY 8 billion convertible bonds, which was named to the 14th New Wealth Best Investment Banking List: Best Convertible Bond Project;

-Assisted China CITIC Bank Co., Ltd. in developing the plan of the establishment of USD 5 billion European Medium-term Notes offshore and completing the Initial Withdrawal Issuance.

Attorney XING has led E&C lawyers to develop a more advanced and full-fledged practice area, serving clients not only in banks but also in all kinds of financial institutions, and providing clients with a full chain, comprehensive and industry-wide legal service from company establishment to dissolution. For example:

-Provided legal services to CITIC Group and five other investors in their acquisition of China Huarong Asset Management Co., Ltd. The project was the first comparable transaction in the market during the same period, featuring a large size of the subject matter, complex structure and assets spread across China and overseas;

-Provided legal services for 17 financial/investment institutions in their joint venture to establish National Pension & Insurance Co., Ltd., with a registered capital of CNY 11.7 billion, which will serve as an important vehicle to promote the development of pension finance and insurance in China. The project was named “Deals of the Year 2021” by China Business Law Journal.
