Eric Mazie has been a key player in Delaware trust law practice for more than 30 years. Recognized as one of the nation’s leaders on the use of trusts in commercial transactions, Eric has had a pivotal role in the development of statutory trust law and the creation of transactional structures and techniques that are widely used in the public and private capital markets.
Eric focuses his practice on representing issuers, investors, arrangers, underwriters, credit enhancers, and other entities in a wide variety of transactional matters, with particular emphasis on transactions involving the use of common law and statutory trusts. A “super smart” practitioner who is “one of the foremost experts in Delaware trust law” (Chambers USA), Eric represents banks and trust companies that act as indenture trustee, owner trustee, fiscal agent, collateral agent, custodian, and in other representative capacities in all types of commercial transactions.
Eric acts as Delaware counsel on a wide range of commercial transactions, including public and private offerings and off-shore and cross-border transactions. He also serves as Delaware counsel in connection with the formation and operation of public and private mutual funds, exchange-traded funds, and real estate investment trusts.
Eric is actively involved in the organization, structuring, and operation of grantor trusts, owner trusts, master trusts, series trusts, titling trusts, liquidating trusts, investment funds, and real estate investment trusts in transactions such as securitizations, derivatives, leveraged leases, mutual funds, debt restructurings, and workouts. His experience includes all types of asset-backed securities, including credit card, residential and commercial mortgage, auto loans and leases, student loans, insurance policies, litigation settlements and intellectual property; mutual funds and exchange traded funds; tender option bonds; covered bonds; liquidating trusts; hybrid capital securities; equipment leases; and collateralized debt and loan obligations.
