Career
Erik F. Oioli is one the founding partners of VBSO and coordinates the firm’s Banking Law and Capital Markets, Corporate and M&A, and Civil Litigation and Arbitration areas. Erik also has been acting as Managing Partner of VBSO since 2017. He acts for more than two decades in financial and capital markets transactions, advising national and international clients from the most diverse segments on the structuring of financing transactions and fundraising in fixed-income and equity markets, including through securitization vehicles and investment funds, as well as going public and delisting transactions, takeover bids, Project Finance and regulatory consulting.
Oioli is also a specialist in Corporate Law and corporate governance, advising clients in structuring businesses in the country through cooperation agreements (joint ventures, contracts, etc.) and / or business combinations (buying and selling equity interests, mergers, divisions and acquisitions). He also works in administrative or judicial litigation involving the financial and capital markets (Bacen, CVM, CRSFN, BSM, etc.), corporate litigation and arbitration and credit recovery, especially in judicial reorganization procedures.
Mr. Oioli is PhD in Corporate Law by University of São Paulo, vice-president of Instituto de Direito Societário Aplicado – IDSA and professor of Financial and Capital Markets LLM Program at INSPER and professor of Business Law course of CEW Law School. Erik Oioli is the president of Technical Board, executive director and member of Editorial Board of “Revista de Direito das Sociedades e dos Valores Mobiliários”, a very well regard Corporate Law and Capital Markets journal in Brazil. In addition to his technical and academic qualifications, Mr. Oioli has actively contributed to the regulatory agenda of the Brazilian capital markets, having been, for example, the author of the text of the bill that resulted in the creation of the Commercial Paper (Federal Law n. 14.195), as well as leading the discussion before the Brazilian Securities and Exchange Commission (CVM) on the regulation of the use of blockchain as infrastructure for the capital market transactions. Erik is author of many books in the field, highlighting the books Oferta Pública de Aquisição do Controle de Companhias Abertas (“Takeover Bids of Public Owned Companies”) and Regime do Capital Disperso na Lei das S.A. (“Dispersed Ownership Regime in Brazilian Corporate Law”).
