Giffy is a key member of the firm’s project finance; corporate finance, mergers and acquisitions (M&A), foreign direct investment (FDI), and real estate practices, advising clients across a wide range of industries and economic sectors, including oil & gas / natural resources, financial services and fintech; manufacturing, consumer goods, pharmaceuticals & healthcare, power & renewables, automotive, plantations & agriculture, and tourism & hospitality.
In project finance, he advised a consortium of domestic state-owned banks and international lenders on the USD 1.846-billion “Trustee Borrowing Scheme Financing” provided to PT Pertamina EP Cepu (a wholly owned subsidiary of Indonesia’s state energy company, PT Pertamina Persero) for the development of the Jambaran-Tiung Biru gas project -- the financing consisted of a USD 1,746,400,000 conventional facility and USD 100,000,000 Shariah-based Wakala facility.
Prior to this, he was the key member of the ABNR team that assisted the USD 2.6 billion debt-based acquisition of PT Amman Mineral Nusa Tenggara (previously PT Newmont Nusa Tenggara), the owner of the second largest copper and gold mine in Indonesia. Giffy not only assisted the financing with the syndication of lenders for the senior and mezzanine loans but also the M&A aspect of the deal – the transaction was named “2017 Debt Market Deal of the Year” by Asian Legal Business. Giffy also advised Indonesian upstream oil-and-gas regulator SKKMigas on the USD 3.5 billion project financing for the development of the Tangguh Train 3 LNG plant,
In corporate finance, he recently assisted Indonesian publicly listed palm oil company PT Sawit Sumbermas Sarana Tbk with their IDR 4.3 trillion (approx. USD 288 million) in hybrid conventional and shariah financing provided by a syndicate of lenders made up of PT Bank Rakyat Indonesia (Persero) Tbk; PT Bank Syariah Indonesia Tbk; PT Bank DKI; PT Bank Woori Saudara Indonesia Tbk; PT Bank Jtrust Indonesia Tbk; and PT Maybank Indonesia Tbk.
In M&A, he recently acted for Frasers Property (Thailand) on their acquisition of a group of logistics companies servicing a network of industrial complexes in Java. He also recently assisted General Electric Co. on the Indonesian aspects of the USD 6 billion global sale of their water processing technology and industrial technology solutions businesses, and South Korea-based LG International with their USD 70 million acquisition of 3 Indonesian plantation companies with operations in Indonesian Borneo (Kalimantan) from Indonesian conglomerate Barito Pacific Group.
He also previously advised private equity firm KKR with their first-ever investment in Indonesia; and Sumitomo Mitsui Banking Corp. on their investment in two of the largest automotive-finance companies in Indonesia.
In FDI, he is presently assisting Uniqlo (Japan) and LC Waikiki (Turkey) with their Indonesian investments, including the incorporation of distribution companies to support their retail operations following recent changes in Indonesian trade law. He is also acting for Qvantel Oy (Finland) for the incorporation of a telecommunications software producer in Indonesia. Prior to this, he assisted Pegatron Corporation (an assembler of Apple iPhones) with their establishment of a USD 300-million iPhone manufacturing operation in Batam province in Indonesia; and NYSE-listed Cabot Corporation with the expansion of their black-carbon manufacturing plant in Indonesia.
In transactional, he recently assisted PT XL Axiata Tbk with back-to-back transactions involving, firstly, the IDR 750-billion sale of XL’s remaining Indonesian telecommunications towers to Malaysian tower provider Edotco, and secondly, the ongoing sale of XL’s fiber cable network in Java to a local internet services provider.
In real estate, Giffy’s work over the last two years includes preparing a legal feasibility study on a multi-billion dollar investment in industrial estates in Bekasi, West Java, and Balikpapan, East Kalimantan. He has also assisted with the sale/acquisition of shopping malls and hotels in different parts of the country, and real estate in Bali and Lombok.
In addition, he has worked on a number of REIT-related transactions over the last two years, including HSBC Trust Services Singapore (HTSS)’s acquisition of a mall and hospital in Bau-Bau township by an Indonesian subsidiary of Singapore-listed First Real Estate Investment Trust (First REIT); and HTSS’ SGD 32.2-million acquisition by Lippo Malls Indonesia Retail Trust (LMIRT) of a four-story shopping mall in Kendari from PT Mitra Anda Sukses Bersama
A regular contributor of articles on topical legal issues to various publications and is a frequent speaker at workshops and seminars, Giffy was named “Indonesian Young Lawyer of the Year” at the 2019 Asian Legal Business (ALB) Indonesia Law Awards.
