James Twigg is a partner in the Corporate and Investment Funds Group of Walkers' Singapore office. James has over 12 years of experience as an offshore lawyer, specialising in corporate transactions and has represented clients across the Asia-Pacific region on numerous high-value mergers and acquisitions, equity capital raisings, private equity and venture capital investments, joint ventures, pre-IPO investments, US IPOs (including SPACs and deSPACs) and general corporate and governance matters. His key longstanding clients, a number of which are among the firm's most significant regional clients, include GLP Capital Partners, Melco Resorts & Entertainment, Warburg Pincus, Macquarie Capital, MoneyHero, VNG Group, ASLAN Pharmaceuticals, bolttech, and CMCC Global.
Recent highlights of his work in the SPAC and deSPAC space include advising Vietnamese EV manufacturer VinFast Auto on its business combination with U.S.-listed SPAC, Black Spade Acquisition Co. (NYSE: BSAQ), followed by its public listing on Nasdaq (NASDAQ: VFS) - a particularly notable transaction as it involved the US listing of a high profile Vietnamese company, a rare occurrence and a significant milestone for the Vietnam market. He additionally led the team advising CompareAsia Group Capital (branded as Hyphen Group, and now being rebranded as MoneyHero) on its deSPAC transaction with Bridgetown Holdings and subsequent listing on Nasdaq (NASDAQ: MNY). Another highlight in the private equity sector was leading the team acting as Cayman Islands counsel on Templewater Group's inaugural investment in the healthcare sector, and its second investment in Southeast Asia, in connection with Templewater's acquisition of Luye Medical Group’s oncology and cardiology businesses in Singapore.
James also regularly advises investment managers and institutional investors on all aspects of hedge fund, private equity and venture capital fund formation and the establishment of co-investment and alternative investment structures.
