As partner-in-charge of the firm’s Nashville office and co-chair of the firmwide Securities and Capital Markets Practice Group, Jay has extensive experience advising public companies and their boards of directors on a variety of SEC disclosure, corporate and securities matters, including advising boards of directors and audit committees on stock exchange listing requirements, the Sarbanes-Oxley Act, stockholder activism, internal investigations, governance, as well as strategic M&A and going private transactions. He also has extensive experience advising companies and underwriters in complex debt and equity transactions.
Career
Mr. Knight began his career in private practice before joining the SEC’s Division of Corporation Finance, where he served in various roles for approximately five years. Mr. Knight returned to private practice in 2012. Mr. Knight currently serves as chair of the American Bar Association’s Federal Regulation of Securities Committee, the nation’s largest and most prominent organization representing securities attorneys.
